I. DEFINITIONS

1. Terms Definitions

1.1. "ElusiveProxy" (referred to as "Provider") – The company that offers proxy and related internet services to the Client.

1.2. "Client" – Any individual or entity utilising ElusiveProxy’s services in accordance with the Terms of Service agreed upon with the Provider.

1.3. "Confidential Information" – Includes all data and information, in any form, provided by the Client or its representatives to ElusiveProxy, which is designated as confidential or by its nature should reasonably be considered confidential.

II. CONFIDENTIALITY

1. Scope of Confidential Information

1.1. Confidential Information does not include data that:

a. Becomes publicly known through no breach by ElusiveProxy or its representatives;

b. Was in ElusiveProxy’s possession prior to disclosure by the Client without any obligation of confidentiality;

c. Is received from a third party without breach of any obligation to the Client;

d. Is independently developed by ElusiveProxy without use of the Client’s Confidential Information;

e. Is agreed in writing by both parties to be non-confidential.

2. Obligations Regarding Confidential Information

2.1. ElusiveProxy and the Client agree to:

a. Maintain the confidentiality of the information unless required for the agreed purpose of the services;

b. Not disclose the information to third parties without the other’s consent, except as required for providing the agreed services.

2.2. Confidential Information may be shared with employees or contractors needing access for the provision of services, provided they are informed about its confidential nature and agree to the confidentiality obligations.

2.3. Disclosure of Confidential Information may be required by law or court order. In such cases, the disclosing party will, to the extent legally permitted, notify the other party in advance.

2.4. Ownership of Confidential Information remains with the disclosing party. No rights are granted to the receiving party other than for the purposes outlined in this Agreement.

2.5. Confidentiality obligations survive the termination or expiration of this Agreement.

2.1.1 Authenticate to Elusiveproxy system, be able purchase products, email notifications.
